These Terms of Use ("Terms") govern your access to and use of the DealScore website (dealscore.ca) and the property due diligence reports provided through it (collectively, the "Service"), operated by DealScore Inc., a corporation incorporated under the laws of Ontario, Canada ("DealScore," "we," "us," or "our").
By accessing the Service or purchasing a report, you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not use the Service.
#1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract under Ontario law to use the Service. By using the Service you represent that you meet these requirements.
#2. Description of Service
DealScore is an automated information aggregation platform that generates property due diligence reports for residential properties in Ontario, Canada. Reports compile information across categories that may include legal records, technical attributes, market dynamics, zoning and development information, environmental factors, infrastructure proximity, education resources, demographic data, financial considerations, and commercial activity.
The Service is delivered as a digital product accessed through your account on dealscore.ca. Reports are generated on demand and delivered electronically upon purchase.
#3. What DealScore Is and Is Not
DealScore IS:
- An informational and data aggregation tool
- An automated analysis platform that compiles publicly available data and licensed third-party data into structured reports
- A research aid intended to support, not replace, your own investigation and professional consultations
DealScore IS NOT:
- A law firm, and does not provide legal advice or legal services
- A licensed real estate brokerage, and does not provide real estate brokerage services within the meaning of the Trust in Real Estate Services Act, 2002 (Ontario)
- A licensed mortgage brokerage, and does not provide mortgage advice or mortgage brokerage services within the meaning of the Mortgage Brokerages, Lenders and Administrators Act, 2006 (Ontario)
- A licensed appraiser or assessment service, and does not provide official property appraisals or valuations
- A home inspection service within the meaning of any home inspection regulatory framework
- A financial advisor or investment advisor, and does not provide financial, investment, or tax advice
- An insurer or insurance broker
#4. Professional Substitute Disclaimer
A DealScore report is NOT a substitute for:
- A professional physical home inspection conducted by a qualified home inspector. Physical defects, structural issues, mechanical condition, moisture, mold, and other property conditions cannot be assessed remotely and require on-site expert examination.
- A legal title search performed by a lawyer licensed by the Law Society of Ontario. Title verification, encumbrances, easements, restrictive covenants, and legal ownership matters require professional legal review.
- A certified property survey prepared by an Ontario Land Surveyor. Property boundaries, encroachments, and dimensional matters require professional surveying.
- A formal property appraisal prepared by a designated appraiser (AACI or CRA).
- A municipal compliance review conducted by relevant professionals.
#5. Data Sources and Accuracy
DealScore aggregates information from public records, open government data sources, licensed third-party data providers, and proprietary analytical methods. Source data may include information from municipal, provincial, and federal public records, statistical agency data, regulatory databases, and commercial data partners.
DealScore makes no representations or warranties, express or implied, regarding:
- The accuracy, completeness, timeliness, or reliability of any information in any report
- The current state of any source data, which may have been updated, corrected, or superseded after our last data refresh
- The applicability of any report to your specific circumstances
- Future market conditions, property values, or outcomes
Verification responsibility
Source data may contain errors, omissions, outdated information, or interpretation differences. Some data may be subject to licensing terms that limit use. You agree to verify any information that is material to your decisions through authoritative sources and qualified professionals.
To the maximum extent permitted by law, DealScore disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
#6. Account and Purchase Process
To purchase a report, you must provide accurate information including a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate information about the property address you wish to research. We may use this information to generate the report and may retain it as described in our Privacy Policy.
#7. Pricing and Payment
Reports are sold as one-time digital products at flat published prices. Current pricing is displayed on the Service at the time of purchase. Prices are in Canadian dollars (CAD) unless otherwise indicated and are exclusive of applicable taxes (HST/GST), which will be added at checkout where required.
Payment is processed by third-party payment processors (such as Stripe). DealScore does not store full payment card details on our servers. By providing payment information, you authorize the applicable payment processor to charge the displayed amount.
#8. Refund Policy
To request a refund under these circumstances, email support@dealscore.ca within 7 days of purchase with your order number and the reason for the refund request.
By initiating a report purchase and confirming at checkout, you expressly consent to the immediate digital delivery of the report and acknowledge that you waive any general statutory cooling-off period that would otherwise apply, to the extent such waiver is permitted by law.
- System Error: If a system error prevents delivery of the purchased report and we are unable to remedy the failure within a reasonable time, we will issue a full refund.
- Duplicate Charge: If you are charged more than once for the same report due to a technical error, we will refund the duplicate charge upon verification.
- Statutory Right: Where applicable consumer protection law (such as the Ontario Consumer Protection Act, 2002) grants you a non-waivable right to a refund, that right is preserved.
#9. Acceptable Use
You agree NOT to:
- Use the Service for any unlawful purpose or in violation of any applicable law, regulation, or third-party right
- Resell, redistribute, sublicense, or commercialize DealScore reports without our prior written consent
- Reverse engineer, decompile, disassemble, or scrape the Service or attempt to extract underlying source code, data, or algorithms
- Use automated tools (bots, scrapers, spiders) to access the Service without our express written consent
- Submit false, misleading, or fraudulent information
- Use the Service to harass, stalk, defame, or intentionally harm any person
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure
- Use the Service in a manner inconsistent with these Terms
#10. Intellectual Property
All content, design, structure, layout, scoring methodologies (including but not limited to the "Safe Buy Score"), report formats, software, algorithms, text, graphics, logos, trademarks, and other elements of the Service are owned by DealScore Inc. or its licensors and are protected by Canadian and international intellectual property laws.
When you purchase a report, DealScore grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the report for your personal, non-commercial purposes (including sharing with your own professional advisors in connection with the property at issue). All other rights are reserved.
You may not:
- Remove or alter any copyright, trademark, or proprietary notices
- Use DealScore trademarks, logos, or brand elements without prior written consent
- Republish report content publicly without prior written consent
- Create derivative works based on DealScore reports or methodologies
#11. Limitation of Liability
DealScore, its directors, officers, employees, agents, and contractors will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to:
- Loss of profits, revenue, savings, or business opportunity
- Loss of data
- Cost of substitute products or services
- Damages arising from property purchase, sale, financing, or investment decisions
- Damages arising from reliance on report content
- Damages arising from third-party data inaccuracy
Liability cap
For direct damages, the total aggregate liability of DealScore arising from or related to the Service is limited to the greater of (a) the amount you actually paid DealScore for the specific report giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100), whichever is greater.
This limitation applies whether the claim is based on contract, tort (including negligence), statute, or any other legal theory, and whether or not DealScore has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, our liability is limited to the maximum extent permitted by law.
#12. Indemnification
You agree to indemnify, defend, and hold harmless DealScore Inc. and its directors, officers, employees, agents, and contractors from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use or misuse of the Service
- Your breach of these Terms
- Your violation of any law or third-party right
- Any content or information you submit through the Service
#13. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including breach of these Terms. Sections of these Terms that by their nature should survive termination (including Disclaimers, Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.
#14. Changes to the Service or Terms
We may modify or discontinue the Service, or update these Terms, at any time. Material changes to the Terms will be notified by updating the "Last Updated" date and, where appropriate, by notice on the Service or email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
#15. Governing Law and Dispute Resolution
These Terms and your use of the Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
You agree that any dispute arising from or related to these Terms or the Service shall be resolved exclusively in the courts of the Province of Ontario sitting in Toronto, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any non-waivable statutory consumer rights you may have under Ontario law.
